4. PLAYING SPORTS BUFF FANTASY BASEBALL

Sports Buff Fantasy Baseball is a game of skill. Sports Buff Fantasy Baseball requires you to use your skill to predict statistics for the upcoming week of baseball games. Each week, your official score and ranks are calculated based on publicly available, historical statistics from the previous week.

No player names or likenesses are used in the marketing or promotion of this contest.

After a membership is purchased per team, you may enter the stadium (our web site) and begin your analysis. To win this contest, you must predict which team will have the best combination of publicly available, historical statistics after the week has concluded. You may change your team each week. All or most eligible players should be listed. If you find any player that you would like to add to the list, email coachb@sportsbuff.com with your request. Your team will consist of fourteen (14) players. Your roster must consist of:

3 Starting Pitchers
1 Relief Pitcher
1 Catcher
1 First Baseman
1 Second Baseman
1 Third Baseman
1 Shortstop
3 Outfielders
2 Flex Hitters (any non-pitcher)

Your 14-player roster must not exceed the $550 cap in Week 1. You must choose only from players and defenses listed. Players are only eligible at the position listed. Player positions for contest purposes should not change, but the Sponsors reserve the right to change player positions during the contest. If a player's position is changed, all teams with the player in the old position will be awarded 2 free trades to change their roster accordingly.

If you do not make any trades, your then current roster will carry forward to the next week. All information provided by contestants and members become the property of Sports Buff LLC.

5. SPORTS BUFF FANTASY BASEBALL SCORING SYSTEM

Scoring is based on the scoring system below:

Hitters
1B, RBI, Run, BB, Steal = 1 point
Hit by Pitch = 1 point
2B = 2 points
3B = 3 points
HR = 4 points
Hit for the Cycle = 10 points

Pitchers
Win, Save = 10 points
Shutout = 10 points
Complete Game, No Hitter = 10 points
Complete Game, Perfect Game = 10 points
Complete inning pitched, K = 1 point

So a 9-inning perfect game victory is 49 points plus 1 point for every K.

MATCH-UP BONUS POINTS - every week, each team may earn up to 4 additional points.

BEAT COACH B - two points are earned by beating Coach B's weekly score. One point is earned if your score is equal to Coach B's weekly score. Zero Coach B bonus points are awarded if you lose to Coach B.

WIN LEAGUE MATCH-UP - you will compete head-to-head against another team in your league each week. Two points are earned by winning your weekly league match-up. One point is earned for a tie. Zero league match-up bonus points are awarded if you lose to Coach B.

Teams entering after the Week 2 deadline will not be eligible for League Match-up Bonus Points. Teams entering after the Week 1 deadline and before the Week 2 deadline will receive zero match-up bonus points for Week 1.

If, for any reason, a league is smaller than 27 teams, weekly match-ups will randomly be assigned and scheduled.

6. SPORTS BUFF MEMBERSHIP FEES

Membership is purchased on a season-by-season basis, per team. To join for the 2008 Fantasy Baseball season, register via www.sportsbuff.com or your community web-site. A membership fee per team is required and your membership lasts for the duration of the contest. Each team requires a single membership fee.

Online Fantasy Baseball member fees per team are $19.99 on or before March 1, 2008 and $29.99 per team after that. Any team registered after the Week 2 deadline is not eligible for league prizes. No mailed entries will be accepted. All dollar amounts are in U.S. dollars and all fees must be paid in U.S. funds.

LIVE SCORING - to keep dues at a minimum, Live Scoring is being offered as an optional service for $19.99. Live Scoring is an extremely entertaining and valuable feature, allowing you to view your team in real-time every day throughout the season. Your scores and stats update every 1 to 2 minutes during games.

All Members that meet the guidelines above are eligible to win prizes if their account is kept current. If a credit card rejection occurs, Sports Buff Consultants will attempt to correct the situation and access to your team will be blocked. If your Account remains delinquent for 30 days or more, the Club has the right to terminate your Membership and/or disqualify you from eligibility for prizes.

Membership and trading fees (see below) cover membership benefits and services rendered, including, but not limited to, processing of each entry, entry confirmations, web site hosting, web site creation, web site management, statistics, email communications, custom league formation, league leader boards, overall leader boards, team summaries, real-time trading, database processing, database updates, and message board access.

7. TRADING PLAYERS

Any of your 14 players may be traded online for $2 per transaction, or you may take advantage of the Weekly Flat Fee Option of $14 per week to cover unlimited trading for that week. You can take advantage of the Weekly Flat Fee Option at anytime during the week by making 7 or more transactions. If you make 8 trades or 10 trades or 14 trades, you will not be charged $2 per transaction. We will automatically give you the Weekly Flat Fee option and never charge more than $14 per week. A player must be traded for another player at the same position. Players may be traded only if the total salary after the trades does not exceed your current salary cap (Salary Balance plus the sum of all salary values for players on your team). Attempts to make trades, which would result in roster salaries above the salary cap, will be rejected. During the season, player values may change based on performance (see Player Upgrades).

Players may be traded any day of the week up to the trading deadline of 2pm CT or game time, if a game starts before 2pm CT each Monday. Any eligible player not listed on the site may be added to contest via your request to coachb@sportsbuff.com. Send an email through the web site with name, team, and position and a ruling will be made on their eligibility and position. If the player is added, their salary value will be determined by management and they will be available within two business days of the request.

8. PROCESSING OF CHARGES

By providing your credit card number, you agree to pay for all charges as explained in these Official Rules and processed on the web site.

All team membership fees are processed and charged to your credit card in real-time. Individual $2 transactions and weekly flat fees are collected, batched, and processed once per month. Please note that the processing date may be any time during the month, so any decline are over balance charges are not covered by Sports Buff.

Any and all declined credit card charges will be re-processed monthly up to 6 months following the contest and contestants with outstanding balances will be placed on a Bad Debt list and will not be allowed to compete in future contests.

9. PLAYER UPGRADES

During the season, some players will "outperform" the salary assigned by Sports Buff at the start of the season. If you have one or more of those players on your roster, we think you should be rewarded for finding that "diamond-in-the rough." Any time a player's salary is upgraded and you have that player on your roster, your salary cap will increase, giving you more spending power. Eight times during the Contest - after weeks 3, 6, 9, 12, 15, 18, 21, and 24 - eight (8) players' salaries, one at each position (SP, RP, C, 1B, 2B, 3B, SS, OF) will be increased $3, based on Coach B's secret formula (that we're sure you can figure out). Only players that are in the top 10 scorers (year to date) at their position will be eligible for a player upgrade.

The upgraded players will be announced online on the Tuesday following each week of player upgrades. If you have any player on your roster that receives an increase in salary, your team value will increase by $3 for each player upgraded (e.g., if your team value is $550 and after Week 3 you have 3 players on your roster that each receive a $3 upgrade, then from Week 4 forward, your team value is $559). Your team value, as well as individual player values, will never decrease. All player upgrades go into effect on Tuesday during the appropriate week. In order to receive credit for the player upgrade, you must have that player on your current roster at the time the raises are announced. For example, to take advantage of the player upgrades that occur after Week 3, you must have those players on your Week 4 roster by the trading deadline for that week.

10. WORK DELAY OR STOPPAGE

If for any reason the MLB season is delayed or the Sports Buff Fantasy Baseball contest is stopped by management decision (or any other reason) before the MLB season begins, the Sponsors will offer a refund of 50% of membership fees, or the option to start the contest at a later date.

If for any reason (including, but not limited to, technical difficulties, strikes, lock-outs, acts of God, licensing issues, and other events not in the reasonable control of the Sponsors ("Event") MLB experiences a work stoppage or the Sports Buff Fantasy Baseball contest is stopped by management or for any other reason, Sports Buff Fantasy Baseball will not resume until the Event has ended and/or play resumes. If play does not resume or the contest is stopped prior to June 1, 2008, 50% of transaction fees will be refunded and no prizes will be awarded. Membership/entry fees would be non-refundable at this time.

If the Event occurs between June 1, 2008 and October 1, 2008, no refunds will be offered and prizes will be pro-rated at 60%. If the playoffs are modified or not played as scheduled (because of any work delay or stoppage or court order), sponsors have the option to cancel the Las Vegas post-season draft and Las Vegas trips will not be awarded. In this case, 1st to 4th would be awarded based on regular season finish at the time of the Event. Sponsors have the right to reasonably modify this ruling based on the type of Event.

11. SPORTS BUFF FANTASY BASEBALL POST-SEASON EVENT

The Grand Champion of Sports Buff Fantasy Baseball wins the title Mr. Fantasy Baseball. To earn the title, a contestant must advance to the post-season by accumulating 1 of the Top 4 season-to-date scores (awarded to the best 24 weekly scores - after discarding 2 lowest weekly scores) by the end of the regular season (end of Week 26). Then, just like in the real world, the champion must win the post-season competition. The post-season champion is crowned Mr. Fantasy Baseball - winning the 1st Place cash prize and merchandise.

Post-season details - after the last week of competition, contestants with the Top 4 season-to-date scores win a trip to Las Vegas for the Sports Buff Fantasy Baseball post-season draft and party. If a tie exists, the tie-breaking rules below will be used.

Tie-Breaking Rules
If a tie exists for end-of-season score, the tie will be broken using the highest weekly score of each Member. If a tie still exists, the second highest weekly score will be used, until the 26th highest weekly score is used, if needed. If a tie still exists, the tie will be broken through the administration of one or more trivia questions relating to professional baseball, to those who are still involved in the tie.

Playoff Draft and Party
1st through 4th place finishers advance to the Sports Buff Fantasy Baseball post-season event in Las Vegas to compete for their share of the prize pool (see Prizes below). If a tie exists, the tie-breaking rules above will be used.

New! The Top 4 begin the post-season with their average weekly score (total score divided by 24). All other regular season point totals do NOT carry over to the Post-Season competition.

The 4 finalists advancing to the post-season event will draft post-season teams via live draft during the MLB playoffs (date is set by the Sponsors at the end of season and is usually two weeks after the season). Each finalist will draft a new playoff team of 15 players (3 SP, 1 RP, 1 C, 1 1B, 1 2B, 1 3B, 1 SS, 3 Outfielders, and 3 Players from any position). Finalists compete head-to-head, accumulating points from all 15 players for the American League Championship Series, the National League Championship Series, and the World Series. The exact draft date and time will be selected by October 3, 2006 after communicating with the 4 finalists. Each finalist must be available for the selected date and time or choose a proxy to draft their team. The finalist and their representative, if applicable, must sign an Affidavit of Eligibility and a Liability Release and Advertising Consent form before becoming eligible for the trip and the playoffs. All reasonable efforts will be made to schedule a date, before the League Championship Series, when all 4 finalists can participate. If a finalist cannot attend and no alternate is selected or refuses to sign the required forms, all rights to 1st through 4th place prizes will be forfeited and the Member with the next highest end-of-season score will enter the SBFB post-season. The Sponsors have the right to consider extenuating circumstances before declaring a finalist position as forfeited. If any of the Top 4 finalists confirm their participation and do not appear at the draft (or do not send a representative), they will receive a cash prize equal to 5th place finish and will not be replaced in the draft.

There is a two-minute time limit per pick in the post-season draft. A 10 second warning is given. So, if Team B does not make their pick, we advance to Team C to make a pick. After Team C picks, we return to Team B with another two minutes on the clock.

A maximum of two teams per person may advance to the post-season event in Las Vegas. If two teams qualify for the same person, the winner must draft one team and a proxy must be selected to make the picks for the other team. Consulting between finalist tables is not allowed during the post-season draft. Cell phones may be used for communication between a finalist or proxy and a partner that could not make the trip. If a finalist has two teams in the post-season draft, neither team is allowed to use a cell phone.

Draft order for the first 10 rounds will be:
1. Highest end-of-season score.
2. Second highest end-of-season score.
3. Third highest end-of-season score.
4. Fourth highest end-of-season score.

If a tie exists, the tie-breaking rules above will be used to determine draft order. Draft order in rounds 11 through 15 will be determined by a random draw. Once a player is selected, the player is exclusively owned by that finalist throughout the playoffs. No player trades are allowed between teams. See Prizes below for prize details. Sports Buff Fantasy Baseball is the finalist with the highest cumulative playoff point total at the end of the playoff competition. Second place is awarded to the second highest cumulative points, 3rd place to the third highest, and 4th place to the lowest playoff point total of the 4 finalists.

Point totals are accumulated based on publicly available historical statistics.

Weekly Winners - Twenty-Five (25)

The eligible Member earning the most points during a Contest Week will be the Weekly Winner for that Contest Week. There will be a total of twenty-five (25) weekly winners during the Contest, for weeks 2 through 26. Odds of winning depend upon your knowledge regarding professional baseball and your ability to analyze and predict statistics. In the event of a tie, the Weekly winner for a particular Contest Week will be the contestant involved in the tie who earned the highest weekly point total in the Contest Week previous to the Contest Week that the tie occurred in, if any. For example, if two contestants are tied with the highest weekly point total for Contest Week 4, the contestant involved in the tie who earned more points in Contest Week 3 will be deemed the Weekly winner. If a tie still exists (or if there was no prior week), the tie will be broken through the administration of one or more trivia questions relating to professional baseball, to those who are still involved in the tie.

Weekly winners receive $50 or a merchandise prize of equal or greater value.

12. SINGLE WEEKLY HIGH SCORE CONTEST PRIZES

The highest single weekly scores, obtained in any one single week throughout the 26-week season, qualify to earn the following cash prizes. All teams are eligible if their account is kept current.
